CBN Unveils Tougher Rules for OPay, Moniepoint, PalmPay, Other Fintechs…

The Central Bank of Nigeria (CBN) has introduced a new set of regulations aimed at strengthening oversight of major fintech companies, including OPay, Moniepoint, PalmPay, Paystack and Flutterwave, as part of efforts to promote financial stability, improve governance and deepen financial inclusion.

Newsonspot reports that the new guidelines, issued between March and June 2026, focus on market concentration, operational ring-fencing, ownership transparency, financial holding structures and stricter anti-money laundering (AML) compliance.

The move comes as Nigeria’s fintech industry continues to expand rapidly, with the CBN reporting that electronic payment transactions reached an estimated ₦1.2 quadrillion in 2025.

Over the years, many fintech firms have grown by offering payment services, securing microfinance bank licences and expanding into savings, lending and other financial products. This strategy transformed companies such as OPay, Moniepoint and PalmPay into large financial groups operating across multiple segments of the banking sector.

However, the CBN says these businesses must now operate with clearer boundaries. Under the new operational ring-fencing framework, every regulated subsidiary must maintain its own governance structure, capital requirements, liquidity standards and risk management systems.

According to the apex bank, the reforms are designed to eliminate regulatory loopholes created when different licensed businesses operate as a single entity. This means fintech companies can no longer run their payment, lending and savings operations as one combined business. Instead, each subsidiary must be financially and operationally independent.

The regulator has also introduced new market concentration limits. Under the June 2026 market structure guidelines, any fintech controlling more than 25 percent of consumer issuing cannot hold more than 15 percent of merchant acquiring, with the same restriction applying in reverse. Companies are required to submit monthly market-share reports and comply with the new limits before the end of 2026.

The CBN explained that the objective is to prevent any single operator from dominating both the consumer payment market and the merchant payment ecosystem, thereby encouraging fair competition.

The revised AML framework also requires fintech firms to strengthen their compliance systems by improving their ability to detect suspicious transactions, properly document compliance decisions and maintain clear accountability throughout their operations. Industry analysts believe many companies will need to invest more in compliance personnel, internal controls and audit systems to meet the new standards.

Although the tougher regulations may increase operating costs for digital payment providers, experts believe they will enhance the resilience of Nigeria’s fintech sector, promote healthier competition and provide stronger protection for customers’ funds.

For millions of Nigerians who rely on platforms such as OPay, Moniepoint and PalmPay for payments, savings and loans, the new regulations signal that strong corporate governance and regulatory compliance will now be just as important as rapid business growth.
