The planned public offering of shares in Dangote Petroleum Refinery and Petrochemicals FZE is set to give Nigerians and other eligible investors an opportunity to own a stake in one of Africa’s biggest industrial projects, with the offer priced at ₦525 per share.

The offer comprises 4.1 billion ordinary shares at ₦525 each, with a minimum subscription of 10 shares, costing ₦5,250. The Securities and Exchange Commission (SEC) has approved the offering, which is expected to raise about ₦2.15 trillion if fully subscribed.

Investors should be particularly careful about how they subscribe because the refinery’s official IPO platform warns that subscriptions will only be accepted through approved channels.

For prospective investors, understanding how to participate is important because the shares cannot simply be purchased by transferring money directly to Dangote Refinery or to an individual claiming to be an agent. Investors are expected to use licensed stockbrokers and other channels specifically authorised for the offer. The minimum investment of 10 shares provides an entry point of N5,250, while anyone intending to apply for more shares should confirm the applicable multiples and conditions in the final prospectus before submitting an application.

Below is a step-by-step guide to the process.

STEP 1: Open a Brokerage Account

The first requirement is to have an account with a licensed stockbroking firm. Ordinary shares offered through the Nigerian capital market are purchased through registered brokers rather than directly from the company.

Prospective investors who do not already have a trading account can register with a stockbroker licensed by the Securities and Exchange Commission (SEC) and the Nigerian Exchange (NGX).

Many brokerage firms now provide online registration, allowing investors to complete much of the process without visiting a physical office. Applicants will generally be required to provide information such as their Bank Verification Number (BVN), valid means of identification and passport photograph as part of the Know-Your-Customer (KYC) requirements.

Before committing funds, investors should confirm that the brokerage firm is properly licensed and authorised to conduct securities transactions.

STEP 2: Open or Link a CSCS Account

The next stage involves the Central Securities Clearing System (CSCS), where investors’ shares are held electronically.

Unlike the old system of physical share certificates, shares purchased through the Nigerian capital market are recorded electronically. A stockbroker will typically assist a new investor in opening a CSCS account or linking an existing account to the brokerage account.

Once the Dangote Refinery shares are allotted and credited, the investor will be able to see the holding through the appropriate securities records and, where available, the broker’s investment platform.

STEP 3: Complete Identity Verification

After opening the brokerage account, the investor must complete the required identity and account verification process before participating in the offer.

The exact documentation may vary from one broker to another. Investors should therefore follow the instructions issued by their chosen brokerage firm and ensure that the personal information supplied is accurate and consistent with their official records.

Completing this stage early can help prevent delays when the offer formally opens.

STEP 4: Fund Your Account Ahead of the Offer

Once the account has been activated, the investor should deposit the amount intended for the share application.

At N525 per share, an application for the minimum 10 shares will cost N5,250.

Investors wishing to purchase more than 10 shares should not assume that any number can automatically be entered on the application. The applicable multiples and other conditions should be confirmed from the final prospectus and official offer documents.

It is also advisable to have the required funds available before September 14, 2026, rather than waiting until the subscription window has opened.

STEP 5: Confirm the Official Opening and Closing Dates

The offer is expected to commence on September 14, 2026, and run until October 13, 2026.

Because of the level of public attention surrounding the Dangote Refinery share offer, investors should rely on the final prospectus and official documents from the authorised issuing houses for the definitive timetable and application conditions.

Any subsequent adjustment to the opening date, closing date, price, minimum application or other terms should be confirmed through the official offer documentation.

STEP 6: Submit Your Application Through Approved Channels

After funding the account, investors can submit their applications through participating stockbrokers and other platforms specifically authorised under the offer.

Depending on the final arrangements, approved channels may include selected fintech and mobile investment platforms. Investors should confirm that any platform they intend to use appears among the authorised channels before making payment or submitting personal information.

Applicants should carefully state the number of shares they wish to purchase, review the application details and submit before the closing date.

Particular caution is necessary when dealing with unsolicited offers on social media, WhatsApp or through individuals claiming to represent the company or its agents. Investors should not transfer money to unverified persons.

STEP 7: Wait for the Allotment

Submitting an application does not automatically guarantee that an investor will receive every share requested.

If the offer receives applications for more shares than are available, the issue could be oversubscribed. In such a situation, the number of shares eventually allotted to an investor may be lower than the quantity originally requested, depending on the approved allotment procedure.

Where an investor receives fewer shares than applied for, any applicable amount relating to the unallotted shares should be refunded in accordance with the terms contained in the prospectus.

Successful allotments will be credited electronically to the investor’s CSCS account.

STEP 8: Monitor Your Shares After Listing

After the shares are listed on the Nigerian Exchange, investors will be able to monitor their holdings through their stockbroker’s trading platform or other approved investment channels.

The market value of the shares will not remain fixed at the offer price. Once listed and actively traded, the share price can rise or fall depending on the company’s performance, investor demand, market sentiment and broader economic conditions.

Shareholders can choose to retain their investment for the long term or sell their shares through a licensed stockbroker when the market is open, subject to the prevailing market price and applicable trading rules.
